PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE APP. BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE MENUBANK APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL OF THE FOLLOWING TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE APP AND DELETE IT IMMEDIATELY FROM YOUR DEVICE.
Welcome to MenuBank! These Terms of Use ("Terms", "EULA", "Agreement") govern your use of the MenuBank application ("the App", "the Service") and underlying services operated by Musa Erdem Mecit ("us", "we", "our", "the Developer", "the Operator").
1. End-User License Agreement (EULA)
The App is licensed, not sold, to you for use strictly in accordance with the terms of this license. We grant you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the App for personal, non-commercial purposes strictly in accordance with these Terms.
1.1. Scope of License: This license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded Products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
1.2. Restrictions: You may not copy, modify, distribute, sell, or lease any part of our App, nor may you reverse engineer or attempt to extract the source code of the App, unless laws prohibit those restrictions or you have our written permission.
1.3. Termination of License: This license is effective until terminated by you or us. Your rights under this license will terminate automatically and without notice if you fail to comply with any term of these Terms. Upon termination, you shall cease all use of the App and destroy all copies.
2. Subscription Terms and In-App Purchases
MenuBank offers premium features, including the "Verified Badge" plan which is available via an auto-renewable subscription ("MenuBank Premium Monthly").
2.1. Auto-Renewing Subscriptions
- Payment: Payment will be charged to your Apple ID / iTunes Account at confirmation of purchase.
- Auto-Renewal: The subscription automatically renews unless auto-renew is turned off at least 24-hours before the end of the current billing period.
- Renewal Charges: Your account will be charged for renewal within 24-hours prior to the end of the current period, and the cost of the renewal will be clearly identified.
- Management & Cancellation: Subscriptions and auto-renewal may be managed or turned off by going to your Account Settings on the App Store after purchase.
- Free Trial: Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription to that publication, where applicable.
- Refunds: Refunds are handled exclusively by Apple. MenuBank does not process refunds directly. To request a refund, please contact Apple Support or use the "Report a Problem" feature in your purchase history.
3. User-Generated Content (UGC)
MenuBank relies on user contributions to index restaurant menus. By uploading content (photos, text, reviews, menus), you agree to the following:
- You retain ownership of your content, but grant us a worldwide, royalty-free, non-exclusive, perpetual, irrevocable license to use, display, reproduce, modify, adapt, and distribute your content within the App and for promotional purposes.
- Your Responsibility: You represent and warrant that you have the legal right to upload and share any content you contribute, and that such content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other legal rights of any third party.
- You must not upload any content that is illegal, offensive, fraudulent, defamatory, harassing, threatening, obscene, or infringes on the intellectual property rights of others.
- Zero Tolerance: We have a zero-tolerance policy for objectionable content or abusive users. We reserve the right to moderate, remove, or edit any content at our sole discretion, without prior notice and without any obligation to do so.
- Users who violate these content rules may have their accounts suspended or permanently terminated without prior notice.
- Sole Liability of Uploader: The user who uploads any content to the App is solely and exclusively responsible for the legality, accuracy, completeness, and appropriateness of such content. MenuBank assumes no liability whatsoever for user-uploaded content.
⚠️ 3.1. COMPREHENSIVE DISCLAIMER REGARDING MENUS, CONTENT, AND ABSOLUTE ZERO LIABILITY
THIS SECTION CONTAINS CRITICAL LEGAL TERMS THAT AFFECT YOUR RIGHTS. PLEASE READ CAREFULLY.
MenuBank operates strictly and exclusively as a third-party informational aggregator, indexer, and a platform for users to share publicly available menus. MenuBank is NOT a restaurant, food service provider, food delivery service, or restaurant recommendation service. By accessing or using the App, you explicitly acknowledge, accept, and agree to the following legally binding waivers and disclaimers:
- Origin and Sourcing of Content: The menus, prices, food descriptions, photographs, and restaurant information available in the App are sourced ENTIRELY from public QR menus, physical menus, and publicly accessible menu lists of the respective businesses. Almost all of this content is contributed, photographed, uploaded, and added by independent users of the App, NOT by MenuBank or its developers. MenuBank does not independently verify, create, curate, endorse, or guarantee any menu content. MenuBank exercises no editorial control over user-submitted content beyond basic moderation for objectionable material.
- Public Domain and Fair Use of Factual Information: The menus displayed have already been made completely public by the respective businesses and actively shared with their customers in the physical or digital world. MenuBank solely indexes factual information (such as food items and prices) that is already in the public domain and serves the pure sharing of public knowledge. No private, confidential, proprietary, or trade-secret business information is knowingly collected, stored, or disclosed by MenuBank. The compilation of publicly available factual data for informational purposes constitutes fair use and serves a legitimate public interest.
- No Affiliation, Agency, Partnership, or Endorsement: MenuBank is an entirely independent platform. It is NOT affiliated with, endorsed by, sponsored by, licensed by, partnered with, franchised by, or acting as an agent, broker, or representative for any restaurant, café, bar, food vendor, business, chain, franchise, or entity whose menu appears in the App. The presence of a menu does not imply any commercial relationship, recommendation, quality guarantee, safety certification, hygiene endorsement, or endorsement of any kind. MenuBank receives no compensation from the businesses whose menus are displayed.
- "As Is" and "As Available" Information — Absolute No Guarantees: All menu content is provided on a strictly "AS IS" and "AS AVAILABLE" basis WITHOUT WARRANTY OF ANY KIND. MenuBank makes ABSOLUTELY NO warranty, representation, or guarantee—express, implied, statutory, or otherwise—regarding the accuracy, completeness, currentness, reliability, timeliness, fitness for any particular purpose, merchantability, non-infringement, or suitability of any menu, price, allergen information, nutritional data, calorie count, ingredient list, operating hour, location data, contact information, or description displayed in the App. ALL IMPLIED WARRANTIES ARE HEREBY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. Users must independently verify all information directly with the respective business before making any decisions based on App content.
- Health, Allergen, Nutritional, and Dietary Disclaimer: MenuBank explicitly and categorically disclaims any and all liability for health-related consequences, allergic reactions (including anaphylaxis), food poisoning, foodborne illness, dietary issues, nutritional deficiencies, adverse health effects, or any physical, psychological, or emotional harm resulting from reliance on menu information, ingredient lists, allergen labels, nutritional data, or any other health-related information displayed in the App. Users with food allergies, sensitivities, intolerances, medical conditions, or specific dietary requirements (including but not limited to celiac disease, diabetes, nut allergies, lactose intolerance, or religious dietary restrictions) MUST contact the respective business directly to confirm all ingredients, preparation methods, cross-contamination risks, and nutritional content. MenuBank bears absolutely no responsibility for any adverse health outcome of any kind.
- Price, Availability, and Currency Disclaimer: Prices, availability, portion sizes, menu items, special offers, and promotions displayed in the App may be outdated, incorrect, incomplete, or no longer available at the respective business. MenuBank does not guarantee the accuracy of any pricing or availability information and shall not be held liable for any price discrepancy, unavailability, or any financial loss arising between the App and the actual restaurant or business.
- Photographs and Visual Content Disclaimer: Photographs and images displayed in the App may not accurately represent the actual appearance, portion size, quality, or presentation of food items at the respective business. Images may be user-submitted and may depict items that are no longer available, have changed, or differ from the current offerings.
- Absolute Zero Liability and Total Legal Waiver: TO THE ABSOLUTE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE REPUBLIC OF TURKEY (INCLUDING BUT NOT LIMITED TO THE TURKISH CODE OF OBLIGATIONS NO. 6098, THE TURKISH COMMERCIAL CODE NO. 6102, AND THE CONSUMER PROTECTION LAW NO. 6502) AND ALL APPLICABLE INTERNATIONAL LAWS, MenuBank, its founder and sole operator (Musa Erdem Mecit), developers, employees, contractors, affiliates, agents, successors, assigns, heirs, and representatives accept ABSOLUTELY NO LEGAL RESPONSIBILITY, LIABILITY, OR OBLIGATION—whether arising in contract, tort (including negligence, gross negligence, and willful misconduct), strict liability, product liability, statutory duty, consumer protection law, intellectual property law, data protection law, competition law, unfair trade practices, or ANY OTHER legal theory whatsoever—for any loss, damage, expense, cost, claim, demand, or harm of any kind (whether foreseeable or unforeseeable) arising from or related to the addition, display, storage, transmission, accuracy, inaccuracy, validity, invalidity, copyright status, trademark status, intellectual property status, or any use or misuse of menus, restaurant information, user-generated content, or any other content within the App. This includes, without limitation, any and all direct, indirect, incidental, special, punitive, exemplary, consequential, or aggravated damages (including but not limited to loss of profits, revenue, income, savings, data, business opportunities, goodwill, reputation, or anticipated benefits).
- Protection Against Lawsuits and Claims — Universal Waiver for All Parties: By downloading, installing, accessing, or using the App, you irrevocably, unconditionally, and permanently waive any and all rights to bring, initiate, support, or participate in any claims, lawsuits, class actions, collective actions, representative actions, arbitration proceedings, mediation proceedings, administrative complaints, regulatory complaints, or legal demands of any nature whatsoever against MenuBank, its developer, founder, or affiliates regarding the menus, restaurant information, and their content. This waiver explicitly, comprehensively, and without any limitation applies to: (a) individual users of the App; (b) restaurant or business owners, operators, managers, and their authorized representatives; (c) franchise holders, master franchisees, and brand licensees; (d) food suppliers, distributors, and wholesalers; (e) local, municipal, regional, national, or international governmental authorities; (f) regulatory bodies, inspection agencies, and enforcement agencies; (g) consumer protection agencies, ombudsmen, and advocacy groups; (h) intellectual property rights holders, trademark owners, and copyright owners; (i) health and safety authorities; (j) competition and antitrust authorities; (k) data protection authorities; and (l) any other natural person, legal person, entity, organization, or authority claiming any interest of any kind.
- Intellectual Property and Copyright Disclaimer: MenuBank does not claim ownership of the menus, logos, brand names, or trademarks of any business displayed in the App. All trademarks, service marks, trade names, logos, and brand identities belong to their respective owners. The display of such marks is for informational purposes only and does not constitute a claim of ownership, endorsement, or affiliation. If any intellectual property holder believes their rights have been infringed, they may contact us for prompt removal as described in our Notice and Takedown Policy below.
- Notice and Takedown Policy (Content Removal): The App serves purely informational and public-interest purposes. If a business owner, authorized representative, intellectual property rights holder, legal counsel, or any party has a valid complaint, copyright/trademark infringement claim, privacy concern, or wishes their menu or business information to be removed from the App for ANY reason, they may contact us at mecitmusa@gmail.com. MenuBank commits to the prompt review and removal of the disputed content, typically within 48 hours of receipt of a valid, written request. Such removal is performed as a courtesy and good-faith measure and does NOT constitute an admission of liability, fault, infringement, wrongdoing, or acknowledgment of the validity of the claim.
- Comprehensive Indemnification: You agree to fully, unconditionally, and irrevocably indemnify, defend, and hold harmless MenuBank, its founder (Musa Erdem Mecit), developers, employees, contractors, and affiliates from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, judgments, settlements, fines, penalties, costs, and expenses (including but not limited to reasonable attorneys' fees, court costs, expert witness fees, and investigation costs) arising out of or related to: (a) your access to or use or misuse of the App; (b) your uploading, submission, or sharing of any content to the App; (c) your violation of these Terms or any applicable law; (d) your violation or alleged violation of any intellectual property, privacy, publicity, or other rights of any third party through the App; (e) any dispute between you and any restaurant, business, or third party arising from information displayed in the App; (f) any inaccuracy in any content you have submitted; or (g) any third-party claim arising from your activities on the App.
- Aggregate Liability Cap: In the unlikely event that any limitation of liability set forth herein is found to be unenforceable, our total aggregate liability to you for all claims arising out of or related to the use of the App shall not exceed the amount actually paid by you to MenuBank (if any) in the twelve (12) months preceding the event giving rise to the claim, or Ten Turkish Lira (₺10.00), whichever is less.
- Severability: If any provision of these Terms, including this Disclaimer, is held to be illegal, invalid, void, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving the original intent, and the remaining provisions shall continue in full force and effect without being impaired or invalidated.
4. Privacy and Data Usage
Your use of the App is also governed by our Privacy Policy. Please review it to understand how we collect, use, and share your information. By using the App, you consent to our collection and use of information as described in the Privacy Policy.
5. Maintenance and Support
We are solely responsible for providing any maintenance and support services with respect to the App. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App. We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice, and without liability to you.
6. Warranties, Liability, and Comprehensive Disclaimer
6.1. DISCLAIMER OF WARRANTY: THE APP, INCLUDING ALL CONTENT, MENUS, PRICES, DESCRIPTIONS, PHOTOGRAPHS, USER-GENERATED CONTENT, AND ALL INFORMATION DISPLAYED THEREIN, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS, AND FREEDOM FROM ERRORS OR VIRUSES. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you; and that, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.
6.2. LIMITATION OF LIABILITY: TO THE ABSOLUTE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE REPUBLIC OF TURKEY AND ALL APPLICABLE INTERNATIONAL LAWS, MENUBANK, ITS FOUNDER (MUSA ERDEM MECIT), DEVELOPERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR AGGRAVATED DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, INCOME, GOODWILL, DATA, BUSINESS OPPORTUNITIES, ANTICIPATED SAVINGS, OR ANY OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE APP, ANY CONTENT DISPLAYED THEREIN, ANY MENU INFORMATION, ANY USER-GENERATED CONTENT, OR ANY CONDUCT OF THIRD PARTIES ON OR THROUGH THE APP, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER MENUBANK WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
6.3. No Liability for Third-Party Content: MenuBank shall bear absolutely no liability for any content uploaded, shared, transmitted, or contributed by users or third parties. This includes but is not limited to menus, photographs, reviews, ratings, prices, descriptions, allergen information, nutritional data, and any other user-generated content. Users who upload content bear sole and exclusive responsibility for the legality, accuracy, completeness, and appropriateness of such content.
6.4. No Liability for Third-Party Links and Services: The App may contain links to or integrations with third-party websites, services, or applications (including but not limited to Google Maps, Apple Maps, and restaurant websites). MenuBank is not responsible for the content, accuracy, privacy practices, or availability of any third-party services and does not endorse or assume any responsibility for them.
6.5. Force Majeure: MenuBank shall not be held liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, civil unrest, natural disasters, epidemics, pandemics, government actions or regulations, embargoes, sanctions, labor disputes, power outages, internet service interruptions, telecommunications failures, or technical failures beyond our control.
7. Account Termination and Suspension
7.1. We reserve the right to suspend, restrict, or terminate your account and access to the App at any time, for any reason or no reason, with or without notice, including but not limited to violation of these Terms.
7.2. Upon termination, your right to use the App will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
8. Intellectual Property
8.1. The App and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of Musa Erdem Mecit. The App is protected by copyright, trademark, and other laws.
8.2. Restaurant names, logos, brand names, and trademarks displayed in the App belong to their respective owners. Their display is for informational purposes only and does not constitute any claim of ownership, affiliation, or endorsement.
9. User Representations and Warranties
By using the App, you represent and warrant that:
- You are at least 13 years of age.
- You have the legal capacity and authority to agree to these Terms.
- All information you provide is accurate, current, and complete.
- You will not use the App for any illegal, unauthorized, or harmful purpose.
- You will not use the App to infringe upon the rights of any third party.
- You will not attempt to gain unauthorized access to the App's servers, databases, or systems.
- You will not use automated means (bots, scrapers, crawlers) to access or extract data from the App without our written consent.
- You understand and accept that menu information in the App is user-contributed, may be inaccurate, and should be independently verified.
10. Legal Compliance
You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
11. Changes to Terms
We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. Changes will be effective immediately upon posting. It is your responsibility to review these Terms periodically. Your continued use of the App after changes are posted constitutes your binding acceptance of the updated Terms. If you do not agree with the revised Terms, you must immediately stop using the App.
12. Dispute Resolution and Governing Law
12.1. Governing Law: These Terms shall be exclusively governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions, principles of comity, or the United Nations Convention on Contracts for the International Sale of Goods.
12.2. Jurisdiction: Any disputes arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of Istanbul, Republic of Turkey. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue of any litigation in such courts.
12.3. Waiver of Class Actions: You agree that any dispute resolution proceedings will be conducted only on an individual basis and NOT as a class action, consolidated action, or representative action. You expressly waive any right to participate in class-action lawsuits or class-wide arbitration.
12.4. Pre-Litigation Notice: Before initiating any legal proceeding, you agree to first contact us at mecitmusa@gmail.com and attempt to resolve the dispute informally for at least thirty (30) calendar days. This informal dispute resolution period is a mandatory prerequisite to any formal legal action.
13. Miscellaneous
13.1. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and MenuBank regarding the use of the App and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.
13.2. No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.
13.3. Assignment: We may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer any rights or obligations under these Terms without our prior written consent.
13.4. Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
13.5. Survival: Sections relating to Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and any other provisions that by their nature are intended to survive, shall survive any termination or expiration of these Terms.
14. Apple-Specific Terms
The following additional terms apply when you download the App from the Apple App Store:
- These Terms are between you and MenuBank only, and not Apple. MenuBank, not Apple, is solely responsible for the App and its content.
- Apple has no obligation to furnish any maintenance and support services with respect to the App.
- In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the App.
- MenuBank, not Apple, is responsible for addressing any claims relating to the App, including product liability claims, any claim that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
- In the event of any third-party claim that the App infringes that third party's intellectual property rights, MenuBank, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
